CollegeOffer.ai is a recruiting outreach platform that helps student-athletes create public athletic profiles and send personalized recruiting emails to college coaches. We are not a recruiting agency, we do not guarantee recruiting outcomes, and we are not affiliated with the NCAA, NAIA, NJCAA, or any college or university.

• You must be at least 13 years old to use the Platform
• If a user is under 18, a parent or guardian must authorize the account and agree to these Terms on behalf of the minor user. A person who purchases a paid subscription represents that they are authorized to use the payment method provided.
• We do not knowingly permit children under the age of 13 to use the Platform

• You must provide accurate and truthful information when creating your account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately if you believe your account has been compromised
• You may not create more than one account per person
• You may not create an account on behalf of another person without their knowledge and consent

• When you create an athlete profile on CollegeOffer.ai, that profile is accessible to anyone with your profile link, including college coaches, recruiting staff, parents, and members of the general public
• Your public profile may also be indexed by search engines such as Google, making it discoverable by anyone searching your name or profile information
• You are solely responsible for the content you include on your public profile
• Do not include sensitive personal information on your public profile that you are not comfortable sharing publicly, such as your home address, financial information, or social security number

• You agree that all information on your profile is accurate and truthful
• Misrepresenting your athletic statistics, GPA, test scores, graduation year, or any other information is a violation of these Terms and may result in immediate account termination
• College coaches and programs rely on the accuracy of the information you provide — misrepresentation is taken seriously

You agree not to include on your profile:

• False or misleading information
• Content that infringes on the intellectual property rights of others
• Photographs or videos that you do not have the right to use
• Offensive, harassing, vulgar, obscene, or otherwise inappropriate content of any kind
• Personal or private contact information belonging to another individual, including but not limited to a coach's personal phone number, personal email address, or home address, without their explicit consent
• Personal information of other individuals without their consent

• Your public profile information may be made searchable and accessible to college coaches, recruiting staff, and other authorized users of the Platform
• We may offer features that allow coaches and recruiters to search and filter athlete profiles by criteria such as sport, position, graduation year, athletic performance metrics, and academic information
• By creating a public profile, you consent to your profile information being included in such search features
• You control what information appears on your public profile and may update or remove it at any time through your account settings

• Paid plans that include email outreach are provisioned a dedicated email address on the sportmail.io domain ("SportMail address") for use in sending recruiting emails to college coaches.
• Your SportMail address is separate from the email you use to log in to the Platform, which is used to receive system communications from us, such as welcome emails, account notices, and billing alerts.
• All emails sent to coaches through our Platform are sent from your SportMail address
• Emails sent and received through your SportMail address are stored on the Platform and accessible through your recruiting dashboard
• Your SportMail address is active only while you have an eligible paid plan. If that paid plan is cancelled, terminated, or changed to a plan that does not include email outreach, your SportMail address may be deactivated and you may lose access to associated email data through the Platform.
• You may request a copy of your SportMail correspondence prior to cancellation by contacting us at support@collegeoffer.ai

You agree to use our email outreach tools responsibly and in accordance with all applicable laws, including the CAN-SPAM Act. Specifically, you agree:

• To only send emails to college coaches and athletic staff for legitimate recruiting purposes
• Not to use our Platform or your SportMail address to send spam, bulk unsolicited messages, or communications unrelated to your athletic recruiting
• Not to use our Platform or your SportMail address to harass, threaten, or send inappropriate communications to coaches or any other recipient
• To comply with all sending limits established by CollegeOffer.ai, which exist to protect your deliverability and the integrity of the Platform
• That emails sent through our Platform reflect on you personally. This includes emails drafted by our AI: you must review and approve each email before sending, and you are responsible for the content you choose to send.

• We may impose daily and weekly sending limits on all accounts to prevent abuse and protect email deliverability
• Sending limits may vary by paid plan and may be changed from time to time to prevent abuse and protect email deliverability
• Sending limits, if applicable, may be displayed in your account dashboard
• Attempting to circumvent sending limits is a violation of these Terms

• The Platform uses artificial intelligence ("AI") to draft recruiting emails based on information available in your account and athlete profile.
• AI-generated content may contain mistakes, inaccuracies, omissions, inappropriate wording, or information that does not accurately reflect you or the athlete. You acknowledge that AI systems can make mistakes and that AI-generated content should not be assumed to be accurate or complete.
• You are required to review each AI-drafted email before sending it. The Platform provides you an opportunity to review and edit the draft before it is sent.
• By approving and sending an email, you accept responsibility for its content and represent that you have reviewed it and believe it is accurate and appropriate.
• CollegeOffer.ai is not responsible for errors, omissions, statements, representations, or other content contained in an AI-drafted email that you approve and send, to the fullest extent permitted by applicable law.

• We do not guarantee that any coach will read, open, or respond to your emails
• Recruiting outcomes depend on many factors entirely outside our control
• CollegeOffer.ai is a tool to facilitate outreach — results depend on you

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use the Platform for any purpose other than legitimate college athletic recruiting outreach
• Attempt to gain unauthorized access to any part of the Platform or another user's account
• Scrape, harvest, or collect data from the Platform through automated means
• Use the Platform to collect email addresses or contact information of coaches for any purpose other than recruiting outreach through our Platform
• Interfere with or disrupt the operation of the Platform or servers
• Upload or transmit malicious code, viruses, or harmful software
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Platform in any way that violates NCAA, NAIA, NJCAA, or other governing body rules regarding amateurism or recruiting
• Use your SportMail address for any purpose other than legitimate college athletic recruiting outreach
• Scrape, copy, export, or otherwise extract coach or school data from the Platform — including but not limited to coach names, email addresses, X (Twitter) handles, school information, or any other data provided through our coach database — for any purpose outside of your own personal recruiting use within the Platform
• Resell, sublicense, or commercialize access to the Platform or its data without our written consent

• CollegeOffer.ai is designed to help student-athletes conduct outreach within the rules established by the NCAA, NAIA, NJCAA, and other athletic governing bodies
• You are solely responsible for ensuring your use of the Platform complies with all applicable governing body rules
• We are not responsible for any eligibility consequences arising from your use of the Platform
• We are not affiliated with or endorsed by the NCAA, NAIA, NJCAA, or any college or university
• If you have questions about whether a particular use of our Platform complies with governing body rules, consult your high school athletic director or a compliance professional

• CollegeOffer.ai may offer a free tier that allows users to create and maintain an athlete profile and use features designated as available to free users.
• The free tier does not include the ability to send recruiting emails through the Platform. Email outreach and certain other features require an eligible paid plan.
• No payment method is required solely to use the free tier. We may add, remove, or modify free-tier features from time to time.

• Paid plan features, prices, billing periods, and other terms are displayed at the time of purchase. We may offer monthly, annual, or other billing options.
• We may change our prices, plans, or included features from time to time. Any price change affecting an existing paid subscription will be communicated before it takes effect as required by applicable law.
• Paid subscriptions automatically renew for the billing period selected at purchase unless cancelled before the next renewal date. You authorize us to charge the payment method on file for each renewal.

• We may offer teams, clubs, schools, academies, recruiting organizations, or other organizations discounted pricing, promotional pricing, group access, or plan terms that differ from those offered directly to individual users.
• Organization pricing and terms may be governed by a separate order, agreement, offer, or enrollment arrangement. If those terms conflict with these Terms, the organization-specific terms will control with respect to that arrangement.

• You may cancel a paid subscription at any time through your account settings.
• Unless otherwise stated at purchase, cancellation takes effect at the end of your current paid billing period and you will retain paid access through that date. Your account may thereafter continue on the free tier, subject to the features then available on that tier.
• If your paid plan includes a SportMail (sportmail.io) email address, cancellation or a change to a plan without email outreach may deactivate that address and end your access to associated email data. Upon request submitted before deactivation, we will provide you with a copy of your SportMail correspondence.
• We do not offer refunds for partial billing periods except where required by applicable law or expressly stated in a specific offer or agreement.

• The Platform, including its design, features, content, and underlying technology, is owned by Offer Engine LLC and protected by applicable intellectual property laws
• You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without our written consent

• You retain ownership of the content you submit to the Platform, including your profile information and email content
• By submitting content to the Platform, you grant us a non-exclusive, royalty-free license to store, display, and transmit that content as necessary to provide our services
• You represent that you have all necessary rights to the content you submit and that it does not infringe on the rights of any third party
• You agree not to submit content that belongs to another person, including private contact information, images, or personal details of coaches, parents, or other individuals, without their explicit consent

• The Platform may utilize third-party infrastructure providers to operate the SportMail email service and other Platform features. These providers are contractually required to maintain appropriate security and confidentiality standards
• We are not responsible for the availability, accuracy, or practices of any third-party service or infrastructure provider
• The Platform may display links to third-party websites, including college program websites, college questionnaire forms, social media profiles, and other recruiting resources. These links are provided for your convenience only. We do not warrant the accuracy, availability, or content of any third-party site or resource and are not responsible for any information found there
• Your use of any third-party website or service is governed by that party's own terms and policies

You agree to indemnify, defend, and hold harmless Offer Engine LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation, including governing body rules
• The content of any email you approve and send through the Platform, including AI-drafted emails, and any claims arising from the recipient's receipt of, or reaction to, that email — you are responsible for reviewing and approving the content before sending and agree to indemnify us against any claim, complaint, or liability resulting from content you choose to send, to the fullest extent permitted by applicable law
• Content you submit to the Platform, including your public athlete profile
• Your violation of any third party's rights

You may terminate your account at any time by contacting us or using any account termination feature made available in your settings. Closing or terminating an account does not automatically delete the data associated with that account. We may retain account and recruiting data after termination in accordance with our Privacy Policy. You may request deletion of your personal information, subject to information we are permitted or required to retain by law.

We reserve the right to suspend or terminate your account at any time, with or without notice, for any of the following reasons:

• Violation of these Terms
• Misrepresentation of information on your profile or in your account
• Abusive use of our email outreach tools
• Conduct that we determine, in our sole discretion, is harmful to the Platform, other users, or third parties
• Non-payment of applicable fees

Upon termination by us, your access to the Platform may cease and your public profile may be removed. Cancellation of a paid subscription, by itself, does not necessarily terminate your account; your account may continue on the free tier. Sections of these Terms that by their nature should survive termination will survive, including Sections 8, 10, 11, 12, 14, and 15.

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada. You hereby consent to personal jurisdiction in Clark County, Nevada and waive any objection to such jurisdiction or venue.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Offer Engine LLC regarding your use of the Platform and supersede all prior agreements and understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.
